A. Acceptable Use
You agree to:

Use Sonara only for lawful business purposes

Ensure compliance with applicable laws, including telecommunication and data privacy regulations
B. Prohibited Use
You agree not to:

Reverse-engineer, copy, or misuse Sonara’s proprietary technology

Use Sonara in violation of laws, including call consent regulations

Use Sonara to transmit spam, malicious code, or harmful content

Interfere with or disrupt our services or infrastructure
4. Client Responsibilities
You are responsible for:

Providing accurate call scripts, sales flows, or support documentation for AI training

Ensuring your use of Sonara complies with legal obligations, including those related to telemarketing, collections, customer consent, and privacy

Maintaining your CRM systems and data integrations when using Sonara’s services
5. Intellectual Property
All technology, software, and content developed by Sonara are the exclusive property of Sonara.
You retain ownership of the materials you provide (scripts, call flows, FAQs). By providing these materials, you grant Sonara a license to use them solely to train and operate your AI voice agents.
6. Privacy and Data
Your use of Sonara is subject to our Privacy Policy.
We collect and process data in accordance with privacy laws and take appropriate measures to protect sensitive information.
7. Service Availability
We strive for reliable, high-availability services but do not guarantee:

Continuous, uninterrupted service

Error-free operation

Absolute security
We may modify, suspend, or discontinue features at our discretion.
8. Fees & Payment
All fees for Sonara’s services are outlined in your service agreement or contract.
Unless otherwise agreed, services are provided on a recurring subscription or project basis.
Failure to pay may result in suspension or termination of services.
9. Disclaimers
Sonara provides services “as is” and “as available.”
We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the fullest extent permitted by law, Sonara is not liable for:

Indirect, incidental, or consequential damages

Loss of profits, revenue, or data

Business interruption or reputational harm
Our total liability is limited to the amount paid for services in the three (3) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold Sonara harmless from any claims, damages, losses, or expenses arising out of:

12. Termination
We may suspend or terminate your access to Sonara if you:

Upon termination, all licenses granted to you immediately end.
13. Governing Law
These Terms are governed by the laws of the State of Israel, without regard to its conflict of law principles.
14. Dispute Resolution
Any disputes arising under these Terms will be resolved through binding arbitration in Tel Aviv, Israel, in accordance with the rules of the Israeli Institute of Commercial Arbitration, unless both parties agree otherwise.
15. Changes to These Terms
We may revise these Terms from time to time. Updates will be posted on this page with a new Effective Date.
Continued use of Sonara after changes means you accept the updated Terms.
